## About the Role As a Commercial Counsel at Salesloft, you will be a key member of the Legal team, responsible for reviewing and managing complex commercial agreements. This includes sales contracts, inbound procurement engagements with vendors, master services agreements, and more. Your expertise in SaaS licensing and commercial contracting will be crucial in driving business growth and ensuring compliance with legal and regulatory standards. The Commercial Counsel role is pivotal to Salesloft's success, as the company continues to build the next era of enterprise revenue. By combining scale, insights, and AI innovation, Salesloft is creating the industry's first Predictive Revenue System. This system enables humans and AI to work together to make smarter decisions and drive consistent growth. As a Commercial Counsel, you will work closely with internal business teams, including Deal Desk, Sales, Procurement, Product, and Finance teams. Your ability to provide tactical and strategic advice on commercial transactions will be essential in ensuring that contractual terms are compliant with legal, regulatory, and company policies and risk standards. ## What You Will Do - Review and manage to close a variety of complex commercial agreements, including sales contracts, inbound procurement engagements with vendors, master services agreements, DPAs, AI Addendums, NDAs, Statements of Work, and Order Forms.
- Identify contractual risks and suggest alternatives that lead to optimal solutions.
- Analyze and advise on issues related to AI, technology development, SaaS licensing, strategic sourcing, software integrations, partnerships, and general commercial contracting.
- Work cross-functionally with internal business teams to ensure that contractual terms are compliant with legal, regulatory, and company policies and risk standards.
- Provide tactical and strategic advice to business and product leaders related to commercial transactions.
- Develop and maintain a deep understanding of Salesloft's products and services, as well as the company's overall business strategy.
- Collaborate with the Legal team to develop and implement contract management processes and procedures.
- Negotiate complex IP and data privacy terms with enterprise customers.
- Manage multiple matters simultaneously, prioritizing tasks and meeting deadlines.
- J.D. degree from an accredited law school.
- Active membership in a United States bar, or otherwise qualified to be a registered in-house counsel under California's multi-jurisdictional practice program.
- Excellent analytical, communication, organizational, negotiation, and drafting skills.
- Experience negotiating complex IP and data privacy terms with enterprise customers.
- Excellent legal and business judgment, critical thinking, and the ability to manage multiple matters simultaneously.
- Smart, independent thinking with an adaptive and flexible mindset.
- Detail-oriented and enjoys end-to-end project management.
- Ability to understand complex contractual issues, assess risk, and provide pragmatic, business-based recommendations to all levels of management.
- Experience with cloud-based business models and the contracting paradigms to support such business models.
