About the Role
The Company Secretarial & Governance Officer role at SmartestEnergy is a critical component of the Legal Department, supporting the governance and compliance framework of the company's growing global group. This position requires a highly organized and detail-oriented individual who can ensure that all company secretarial obligations are met across the group. The successful candidate will be responsible for establishing, maintaining, and embedding robust governance structures, policies, and processes throughout the organization.As a key member of the Legal Department, the Company Secretarial & Governance Officer will work closely with senior stakeholders, including the General Counsel & Company Secretary, to ensure the company operates with strong corporate governance, regulatory compliance, and effective decision-making processes.

What You Will Do
- Develop and implement the Group's governance framework
- Support Boards and shareholders in meeting their governance requirements
- Manage company secretarial activities, including contract execution and delegated authority processes
- Collaborate with senior stakeholders to ensure the Group operates with strong corporate governance and regulatory compliance
- Contribute to wider legal and business initiatives
- Identify critical business issues and determine the governance requirements
- Establish and maintain relationships with key stakeholders, including external counsel and regulatory bodies
- Provide guidance and support to the business on governance and compliance matters
- Develop and maintain policies and procedures to ensure compliance with regulatory requirements
What We Are Looking For
- Experience as a Company Secretary or Company Secretarial Assistant
- Experience managing governance frameworks
- Ability to identify critical business issues and determine the governance requirements
- Strong organizational and communication skills
- Ability to work independently and as part of a team
- Experience working with senior stakeholders, including Boards and shareholders
- Knowledge of corporate governance and regulatory compliance
- Strong attention to detail and analytical skills
- Experience with contract execution and delegated authority processes
