About the Role
The Contracts and Corporate Paralegal plays a critical role in managing the lifecycle of contracts, minimizing organizational risk, and ensuring compliance with regulatory requirements. As a key intermediary between the Legal and Business teams, this professional will be responsible for negotiating contract terms, handling corporate law matters, and supporting business transactions. The successful candidate will work under the supervision of licensed attorneys and be an integral part of the company's mission to simplify the health insurance shopping process.The Contracts and Corporate Paralegal will be part of a dynamic team that values innovation, simplicity, and customer satisfaction. What You Will Do
- Manage the contract lifecycle, ensuring rapid processing and procurement of all required approvals prior to execution
- Serve as the first-line reviewer for revenue-generating contracts across all business lines
- Assist with handling corporate law matters, ensuring compliance, and supporting business transactions
- Conduct legal research, gather information, and communicate effectively with government offices
- Prepare materials for attorneys and board meetings
- Draft and revise contracts, applications, agreements, bylaws, minutes, consents, and corporate resolutions
- Assist in forming, registering, maintaining, and dissolving legal entities
- Prepare filings with state and federal agencies
- Track filing deadlines and ensure proper filing of state documents
- Maintain corporate files, checklists, and deliverable trackers
- Organize electronic and paper records
- Assist in litigation, mediation, arbitration, and compliance programs as requested
- Collaborate with attorneys, finance teams, and other departments to manage corporate projects, audits, and transactions
What We Are Looking For
- Bachelor’s degree
- 4 years’ contracts and/or corporate legal experience
- Extremely proficient with technology, particularly Excel
- Ability to proactively recognize potential risks and escalate appropriately
- Capable of thriving in a fast-paced, multi-project work environment
- Strong organizational skills and attention to detail
- Effective communication and interpersonal skills
- Ability to work under the supervision of licensed attorneys
Nice to Have
- Experience with contract management software
- Knowledge of corporate governance and regulatory compliance
- Familiarity with state and federal filing requirements
- Certification in paralegal studies or a related field
