About the Role
The Corporate Associate Attorney position at Direct Counsel is a challenging and rewarding role that involves working closely with clients on complex mergers and acquisitions transactions. As part of a dynamic team, the successful candidate will play a critical role in supporting the firm's clients through all stages of the transaction process, from initial due diligence to closing. This role offers the opportunity to work with a variety of clients across different industries, each with their unique set of challenges and opportunities.The day-to-day responsibilities of this position will include drafting and reviewing legal documents, conducting legal research, and participating in client meetings and negotiations. The ability to work well under pressure and manage multiple tasks simultaneously is essential, as the nature of M&A transactions often requires quick turnarounds and attention to detail. The role also involves collaborating with other lawyers and support staff to ensure that clients receive comprehensive and effective legal services.
What You Will Do
- Support clients on mergers and acquisitions transactions, including drafting and reviewing legal documents
- Conduct legal research and analyze data to inform client strategies
- Participate in client meetings and negotiations to provide legal counsel and support
- Collaborate with other lawyers and support staff to ensure seamless delivery of legal services
- Manage and prioritize multiple tasks and deadlines in a fast-paced environment
- Develop and maintain client relationships through excellent communication and service
- Stay up-to-date with legal developments and trends in the M&A sector
- Utilize Excel and other software tools to analyze data and prepare reports
- Contribute to the growth and development of the firm through innovative ideas and solutions
- Work closely with the partnership team to advance towards partnership
What We Are Looking For
- JD or LLM from an ABA-accredited law school
- Admission (or eligibility for admission) in Massachusetts or New York
- A minimum of 3 years of experience in M&A and private equity transactional work
- Strong written and verbal communication skills
- High level of professionalism in client interactions and teamwork
- Ability to prioritize and manage multiple responsibilities effectively
- Meticulous attention to detail and excellent organizational skills
- Ability to work well in a team setting
- Experience with Excel and other data analysis tools
- Strong analytical and problem-solving skills
Nice to Have
- Experience working with international clients or on cross-border transactions
- Familiarity with legal software and technology beyond Excel
- A background in business or finance, in addition to law
- Certification in a related field, such as a Certified Merger and Acquisition Advisor (CM&AA)
- Fluency in more than one language
