About the Role

The Corporate Counsel – M&A and Corporate Affairs role is a critical component of AMSURG's in-house legal team, providing expert guidance on complex issues in a dynamic and fast-paced environment. This position reports to the Associate General Counsel and offers the opportunity to work on sophisticated transactions, corporate governance, and commercial finance matters. As a key member of the legal team, the successful candidate will be responsible for providing legal advice and counsel to various teams throughout the organization.

The role of Corporate Counsel is essential to the growth and success of AMSURG, as it supports the development, strategy, finance, and operations teams in navigating complex legal issues. With a strong focus on M&A and corporate affairs, this position requires a high level of analytical and communication skills, as well as the ability to work effectively in a remote environment.

What You Will Do

  • Provide legal advice and counsel to development, strategy, finance, and operations teams on acquisitions, mergers, joint ventures, de novo developments, divestitures, equity investments, and other sophisticated transactions
  • Support the growth of AMSURG and facilitate transactions across the organization, including drafting transaction agreements, leading negotiations, and performing and supervising due diligence
  • Advise and collaborate with key leaders to help structure transactions, identify and mitigate legal issues, and assist in crafting solutions to protect the company's interests
  • Conduct legal research and analysis to provide recommendations and prepare written opinions and guidance for management teams and other internal clients
  • Support corporate governance processes, including assisting with maintenance of governance policies and practices and preparation of board and committee materials at various levels throughout the organization
  • Oversee entity management, structuring, and compliance across the organization
  • Provide legal support and guidance on commercial finance and tax matters
  • Assist with special projects and perform other job-related duties as assigned
  • Act as a liaison between management and internal or external legal experts on matters beyond the Corporate Counsel's core substantive expertise
