Job Description

About the Role

The Director, Strategic Transactions, is a newly created role within Ciena's Legal Department, designed to help shape the company's approach to strategic transactions globally. This role will have a significant impact on the company's growth strategy, working closely with the Chief Strategy Office, Legal leadership team, and cross-functional leaders to drive M&A transactions, investments, and strategic partnerships. The ideal candidate will be a highly motivated, strategic thinker with strong legal and business judgment, able to translate complex issues into practical solutions.

As a key member of the Legal Department, the Director, Strategic Transactions, will be responsible for partnering with internal stakeholders and external counsel to drive deal processes and strengthen relationships. This role requires a deep understanding of the tech industry and the ability to navigate complex transactions with confidence. The Director will report to Ciena's Deputy General Counsel and will be based remotely in the United States or proximate to a Ciena office location.

What You Will Do

  • Partner closely with the Chief Strategy Office and Legal leadership team to drive M&A transactions, investments, and strategic partnerships
  • Lead legal due diligence processes and coordinate with other functions to communicate findings, risks, and recommended solutions to stakeholders
  • Develop strategies and tools to drive continuous improvements in deal processes and execution, including utilizing AI
  • Support corporate venture capital program and investments, including management of related outside counsel relationships and engagements
  • Play a key communication and coordination role across diverse functions and levels to complete transactions
  • Assist the broader Legal Department and Chief Strategy Officer on other high-priority tasks and corporate or transactional matters
  • Negotiate and draft strategic commercial and technology transactions and partnerships
  • Develop legal strategies and efficient processes to coordinate and oversee investments and ongoing portfolio management
  • Collaborate with internal stakeholders to identify opportunities for growth and improvement

What We Are Looking For

  • 5+ years of legal experience in M&A, with a preference for strategic acquisition transactions and some in-house experience or outside counsel work
  • Experience independently negotiating and running complex strategic transactions
  • Ability to think creatively, function independently, and work proactively in a fast-paced environment
  • Demonstrated growth mindset and strong initiative—ambitious, adaptable, and willing to take ownership and tackle unfamiliar challenges with confidence
  • Excellent legal and business judgment, attention to detail, and proven capacity to tackle complex issues
  • Strong communication and coordination skills, with the ability to build trusted relationships with internal stakeholders and external counsel
  • Experience with Excel and other productivity tools
  • Strong analytical and problem-solving skills, with the ability to analyze complex data and develop practical solutions
