Fractional Chief Legal Officer (CLO)

What You Will Do

• Advise on corporate, commercial, and regulatory matters, providing strategic guidance to the leadership team
• Review contracts, agreements, and legal exposures, identifying potential risks and opportunities
• Support M&A transactions, due diligence, and corporate structuring, providing expert advice on key decisions
• Provide guidance on compliance and risk management, ensuring that the company is meeting its regulatory obligations
• Serve as a trusted legal advisor to the leadership team, providing proactive and practical advice on a range of matters
• Develop and implement effective legal risk management strategies, identifying areas for improvement and implementing changes
• Collaborate with other teams, including business development and operations, to ensure that legal considerations are integrated into key decisions
• Stay up-to-date with changes in the law and regulatory environment, providing guidance on the impact of these changes on the company's business

What We Are Looking For

• Licensed attorney with significant corporate and commercial law experience
• Experience advising private companies, acquisitions, and growth-stage businesses
• Familiarity with U.S. corporate, contract, and compliance matters
• Practical, business-oriented approach to legal risk management
• Strong communication and interpersonal skills, with the ability to work effectively with a range of stakeholders
• Ability to work in a fast-paced, remote environment, with a high level of autonomy and self-motivation
• Strong analytical and problem-solving skills, with the ability to provide proactive and practical advice
• Experience with online education platforms or ed-tech companies is a plus
