About the Role

The Fund Formation Associate Attorney position at Direct Counsel is a mid-level role designed for individuals with a passion for investment law and a keen interest in the intricacies of private investment fund matters. What You Will Do

  • Advise on the formation of private investment funds, including drafting and reviewing legal documents.
  • Manage sponsor-side transactions from inception through closing, ensuring all legal requirements are met.
  • Provide legal counsel on matters related to general partner and management company entities.
  • Handle secondary transactions involving limited partner and/or portfolio company interests.
  • Collaborate with other departments to ensure seamless service delivery to clients.
  • Stay updated on legal and regulatory changes affecting private investment funds.
  • Develop and maintain strong relationships with clients and internal stakeholders.
  • Participate in business development activities to grow the firm's investment funds practice.
  • Assist in the training and mentoring of junior legal staff.
  • Contribute to the development of the firm's knowledge base on investment fund matters.

What We Are Looking For

  • A bachelor's degree in Law (or equivalent) from a nationally recognized law school.
  • 2-4 years of experience in advising clients on private investment fund formation and related transactions.
  • Experience working on fund formation matters from inception through closing.
  • Strong analytical, drafting, and organizational skills.
  • Excellent academic credentials and a strong understanding of investment law principles.
  • Ability to work in a fast-paced environment, managing multiple projects simultaneously.
  • Strong verbal and written communication skills, with the ability to communicate complex ideas clearly.
  • Professional certification in law, such as being admitted to the bar in the United States.

Nice to Have

  • Experience with legal software and tools, such as document management systems.
  • Knowledge of tax law as it relates to investment funds.
