The Fund Formation Associate Attorney position at Direct Counsel is a mid-level role designed for individuals with a passion for investment law and a keen interest in the intricacies of private investment fund matters. What You Will Do
- Advise on the formation of private investment funds, including drafting and reviewing legal documents.
- Manage sponsor-side transactions from inception through closing, ensuring all legal requirements are met.
- Provide legal counsel on matters related to general partner and management company entities.
- Handle secondary transactions involving limited partner and/or portfolio company interests.
- Collaborate with other departments to ensure seamless service delivery to clients.
- Stay updated on legal and regulatory changes affecting private investment funds.
- Develop and maintain strong relationships with clients and internal stakeholders.
- Participate in business development activities to grow the firm's investment funds practice.
- Assist in the training and mentoring of junior legal staff.
- Contribute to the development of the firm's knowledge base on investment fund matters.
What We Are Looking For
- A bachelor's degree in Law (or equivalent) from a nationally recognized law school.
- 2-4 years of experience in advising clients on private investment fund formation and related transactions.
- Experience working on fund formation matters from inception through closing.
- Strong analytical, drafting, and organizational skills.
- Excellent academic credentials and a strong understanding of investment law principles.
- Ability to work in a fast-paced environment, managing multiple projects simultaneously.
- Strong verbal and written communication skills, with the ability to communicate complex ideas clearly.
- Professional certification in law, such as being admitted to the bar in the United States.
