About the Role
The Legal Counsel position at Gorgias is a pivotal role that will be responsible for managing the company's commercial agreements, ensuring that all legal aspects of business operations are properly handled. This includes negotiating contracts, coaching sales teams on legal matters, and overseeing the development and implementation of contract management systems. The ideal candidate will have a strong background in commercial law, preferably with experience in the tech or SaaS sector. The role is based in Toronto and will involve working closely with the Head of Legal, as well as cross-functional teams including sales, finance, and product.As part of Gorgias's legal team, the successful candidate will be instrumental in shaping the company's approach to legal matters, contributing to the development of policies, and ensuring compliance with relevant laws and regulations. What You Will Do
- Negotiate, draft, and manage commercial agreements, including SaaS subscription agreements, MSAs, order forms, and DPAs.
- Serve as the primary legal point of contact for the sales team, providing coaching on deal risks, unblocking negotiations, and setting clear fallback positions.
- Develop, maintain, and continuously improve the contract playbook and standard template suite.
- Manage and improve AI-assisted contract workflows, including integration with tools like Claude and ChatGpt.
- Partner with the finance and RevOps teams on deal structuring, billing terms, and revenue recognition edge cases.
- Handle vendor and inbound technology agreements, including SaaS and data processor relationships.
- Identify patterns across the deal portfolio and translate them into policy, training, or product input.
- Support general commercial legal work as the team scales, including advising on legal matters related to product development and launch.
- Collaborate with external counsel as needed on specific legal projects or matters.
- Develop and maintain a comprehensive understanding of the company's legal landscape, including emerging trends and regulatory requirements.
What We Are Looking For
- A minimum of 3-4 years of commercial legal experience, preferably in-house at a SaaS or tech company, or in tech-focused private practice.
- Experience in a startup or scale-up environment, with a track record of building or improving processes.
- Exposure to US market commercial deals, with an understanding of how US enterprise procurement works.
- Comfort with ambiguity and the ability to navigate complex legal issues in a fast-paced environment.
- Strong written and verbal communication skills, with the ability to craft clear, concise legal documents and negotiate effectively.
- Genuine curiosity about AI tools and a willingness to work with AI-assisted contract review and management systems.
- Ability to work in a remote environment, with strong self-motivation and discipline.
Nice to Have
- Dual bar licensure in both Canada and a US state, demonstrating a broad understanding of legal principles and practices in both jurisdictions.
- Experience with AI-assisted contract review tools, with knowledge of how to leverage these tools to streamline contract management processes.
- Familiarity with the tech industry, particularly in the SaaS or conversational commerce sectors, with an understanding of the unique legal challenges and opportunities in these fields.
