About the Role
As a Senior Commercial Counsel at Zoom, you will play a vital role in supporting the company's global partner ecosystem and channel-first strategy. This entails working closely with cross-functional teams, including the Channel, Partner, and Strategy/Business Development teams, to deliver practical, business-focused solutions. What You Will Do
- Draft, review, and negotiate a wide range of commercial agreements, including master partner, SaaS channel, referral, alliance, data processing, and professional services agreements.
- Support and negotiate strategic partnerships with telecommunications providers, carriers, and managed service providers, including resale and network-integrated arrangements.
- Review and maintain partner program terms, participation agreements, and program guides to ensure clarity, scalability, and enforceability.
- Enhance partner incentive structures to ensure they are aligned with the company's business objectives and are scalable and enforceable.
- Provide practical guidance to business teams on interpreting partner program terms and ensuring compliance with relevant laws and regulations.
- Support dispute resolution and enforcement matters related to partner programs and agreements.
- Partner cross-functionally to develop legal frameworks for new channel-focused products and services.
- Develop playbooks, templates, and workflows to drive efficiency and consistency across partner agreements.
- Collaborate with the legal team to identify and mitigate potential risks associated with commercial agreements and partnerships.
What We Are Looking For
- 7+ years of post-qualification experience in commercial law, including at least 5 years in-house within a SaaS or technology environment.
- Proven experience in negotiating agreements with telecommunications providers or carriers, including resale or network-enabled SaaS solutions.
- Strong familiarity with channel and partner agreements, including reseller, distributor, referral, and alliance models.
- Ability to exercise sound commercial judgment and balance legal risk with business objectives.
- Excellent communication and interpersonal skills, with the ability to advise on partner program terms, policies, and incentive structures.
- Ability to manage multiple priorities in a fast-paced environment and work effectively in a team.
- Knowledge of SaaS or cloud business models, including revenue recognition considerations.
- Self-starter with the ability to prioritize, work quickly, and independently.
Nice to Have
- Experience working in a remote or hybrid environment, with the ability to work effectively in a distributed team.
- Familiarity with Zoom's products and services, or similar video conferencing and collaboration solutions.
- Certification in commercial law or a related field, such as a Certified Commercial Contract Manager (CCCM) or a Certified Information Privacy Professional (CIPP).
