About the Role

The Senior Executive Officer – Corporate Governance role is a unique opportunity to work at the center of organizational decision-making and contribute to the governance, integrity, and strategic direction of Life Without Barriers. As a key member of the Strategy & Governance team, you will provide high-level governance, project, and secretariat support to the Board, Board Committees, Chief Executive, and Executive Leadership Team. Your expertise will be crucial in maintaining effective governance across the organization, ensuring compliance with statutory, regulatory, and corporate governance obligations.

The role requires exceptional judgment, discretion, and attention to detail, as well as the ability to build trusted relationships with Directors, Executives, and senior stakeholders. You will be working closely with the Chief Strategy & Governance Officer to deliver contemporary governance practices and frameworks, facilitating the effective flow of information between the Board, Executive Leadership Team, and governance forums.

What You Will Do

  • Coordinate Board, Board Committee, and Executive governance processes
  • Prepare and manage Board and Committee meeting schedules, agendas, papers, minutes, and action tracking
  • Support the Chief Strategy & Governance Officer in delivering contemporary governance practices and frameworks
  • Facilitate the effective flow of information between the Board, Executive Leadership Team, and governance forums
  • Assist with Director induction, Board development activities, and Board performance reviews
  • Maintain governance records, registers, and statutory documentation
  • Support the organization to meet its obligations under relevant legislation, including the Corporations Act, ACNC requirements, and organizational governance frameworks
  • Coordinate conflict of interest processes and governance reporting requirements
  • Assist in the development, implementation, and continuous improvement of governance policies, systems, and processes

What We Are Looking For

  • Proven experience in corporate governance, compliance, or a related field
  • Strong understanding of corporate governance principles, legislation, and regulations
  • Excellent communication, interpersonal, and stakeholder management skills
  • Ability to work in a complex environment, managing competing priorities and handling highly sensitive and confidential information
  • Strong analytical, problem-solving, and decision-making skills
  • Experience in providing secretariat support to Boards and Committees
  • Knowledge of governance frameworks, policies, and procedures
  • Tertiary qualification in law, business, or a related field

Nice to Have

  • Experience working in a social purpose organization or not-for-profit sector
  • Knowledge of the Australian charity and not-for-profit sector
  • Familiarity with governance software and systems
  • Certification in corporate governance or a related field
